CRONE LAW GROUP ANNOUNCES NEW OFFICE IN BEIJING AND THE ADDITION OF JOHN O’LEARY & MICHAEL SHAFF, OF COUNSEL
Crone Law Group is pleased to announce our new office in Beijing! With the increase of workflow, we have scaled with our clients’ demand.
Additionally, we are pleased to announce the addition of Ron Levy, John O’Leary & Michael Shaff, of counsel, to our growing team of professionals.
MEET JOHN O’LEARY
John O’Leary serves as Of Counsel for Crone Law Group. Mr. O’Leary provides legal guidance to private companies going public through the registration of equity securities pursuant to the Securities Act of 1933 through underwritten initial public offerings and direct public offerings. Mr. O’Leary also advises public companies on reverse merger transactions, debt and equity financing, PIPE transactions, equity line funding, and other various corporate finance transactions. . Mr. O’Leary also advises public companies on change of control transactions, general corporate governance and compliance with stock exchange listings. Mr. O’Leary also prepares reports required to be filed by public companies pursuant to the reporting requirements of the Securities Exchange Act of 1934, including the preparation of Form 14-A proxy statements, annual (Form 10-K), quarterly (Form 10-Q) and current (Form 8-K) reports.
Prior to joining Crone Law Group, Mr. O’Leary was associated with a New Jersey law firm that specialized in securities and corporate related matters.
Mr. O’Leary’s previous experience also includes service as in-house counsel for a full service broker/ dealer and a nationally recognized securities clearing firm, where he provided legal and regulatory advice to senior management, and responded to state and federal regulatory inquires pursuant to the self-regulatory rules of the Financial Industry Regulatory Authority and the Securities and Exchange Commission.
Mr. O’Leary received his Juris Doctor from Quinnipiac University School of Law and received his Bachelor of Business Administration from Temple University.
MEET MICHAEL SHAFF
Mr. Shaff will be joining our Los Angeles office. His practice includes all aspects of federal and state taxation, both on the planning and structuring of financing transactions and debt and equity offerings and in controversy matters with the IRS and FTB. Mr. Shaff practiced tax law for five years in New York City and for three years in another California law firm.
Mr. Shaff also served as a trial attorney with the office of the Chief Counsel of the Internal Revenue Service for three years. Mr. Shaff is certified by the Board of Legal Specialization of the State Bar of California as a specialist in tax law.
He is a member of the California Lawyers Association (Trusts and Estates Section), and the Massachusetts and New York bars. Mr. Shaff is the past chair of the Tax Section of the Orange County Bar Association.
