Joe Laxague is an experienced, reliable, and responsive attorney dedicated to helping businesses reach their goals. He has extensive experience representing small-cap and micro-cap public and private companies. His practice and experience also includes representation of creditors and small business debtors in Chapter 7 and Chapter 11 bankruptcy proceedings, as well as commercial litigation in Nevada’s state and federal courts.

Mr. Laxague has been a member of the Nevada State Bar since 2000.  He graduated Magna Cum Laude from University of Notre Dame Law School (J.D. ’00) and Magna Cum Laude from the University of Nevada, Las Vegas (B.S. – Business Administration ’97).

Eleanor Osmanoff is a business transactional attorney with over 15 years of progressive experience in legal field.  She started her legal career as a paralegal and gained her knowledge and hands-on learning experience in corporate and securities, intellectual property and commercial litigation, while working in several international law firms, including Dechert LLP.  Ms. Osmanoff built on that experience by representing investors in securities dispute resolution through FINRA arbitration at Pace Investors Rights Clinic while completing her law degree.

Crone Law Group client Nerds On Site Inc., has completed its initial public offering of 13,519,830 units, each unit consisting of a common share and a half warrant, at a price of 35 cents per unit, for gross proceeds of $4.73-million. CLG represents Nerds on Site in its corporate and securities matters and played an instrumental role in securing the financing received pursuant to the IPO. The shares are listed on the Canadian Securities Exchange (CSE) under the symbol NERD and will begin trading on Nov. 28, 2018, at the opening of the market.

On November 8th, 2018, Crone Law Group client Blue Star Foods Corp. completed a reverse merger with A.G. Acquisition Group II, Inc., and closed on a simultaneous private placement of approximately $1.0 Million that consisted of shares of convertible preferred stock and warrants.  Blue Star Foods Corp. is based in Miami, FL, and is an international seafood company that imports, packages and sells refrigerated pasteurized crab meat, and other premium seafood products.  CLG represents Blue Star Foods Corp. in its corporate and securities matters, and Newbridge Securities Corp. acted as a Financial Advisor to the transaction.
